This Customer Agreement (hereinafter - the "Agreement") sets out the terms and conditions (hereinafter "Terms of Service")between you (“Purchaser”, “User”, “you”) and the Xponz website accessible at https://www.xponz.com (hereinafter, the "Website"). Before using the Website, the natural person (hereinafter "Customer") must read, agree with and accept these Terms of Service. You accept these Terms when you purchase XPONZ tokens (“Tokens”) or use Xponz services or any other features, technologies or functionalities offered by Xponz website or through any other means (collectively, “Services”). The terms “us”, “we” or “our” refer to Xponz too.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

We reserve the right to modify these Terms at its sole discretion. The new version of the Agreement will be effective immediately since the moment of being published on the Website and apply to any ongoing or subsequent use of the Website or Services. The User acknowledges that he (she) should independently monitor the Website or other Services platforms in order to get the latest updates. The users shall be recognized to have accepted these changes if they continue to use the Services. If a User does not agree to these Terms, he (she) should stop using the Website and/or the Services.

This stipulates the general condition for use of the Website and/or any Services. Terms of which are specified in separate documents of any Service in particular shall override and can be subsequent in any terms stated herein:

1. Use of the Site and Services

The User represents and warrants that he (she) shall be of legal age to avail the Services and will not have had the right to re-avail the Services that had been previously revoked by us.

2. Illegal and Prohibited Use

The User warrants that he (she) will not use the Site or Services for any criminal, illegal, or otherwise prohibited use, including (but not limited to) activities related to money-laundering, drug trafficking, human trafficking, weapon trafficking, terrorism, securities fraud, tax evasion, and/or assist in any illegal activity.

You represent and warrant that you will not in any way use the Site or Services to: distribute spam, junk communications or chain letters; reverse engineer or otherwise improperly access any of the Site’s or the Platforms underlying code or technical mechanisms; cause damage to the Site or Xponz through any means, including (but not limited to) through the use of hacking, malware, viruses, illegitimate credentials, phishing, brute force attacks, exploitations, and do damaging any information or functionality related to the Site. You also agree not to transfer access to your Account or any other rights granted to you by these Terms.

3. Registration and Account

You warrant and represent that all information provided when creating Accounts to any Xponz Services that requires to create an account are current and accurate.You agree to promptly notify Xponz of any changes to any information that would cause the information provided upon your Account’s creation to no longer be current, complete or accurate.

Xponz may request you to provide additional information such as proof of your identity, physical address and source of funds at any time to use any particular Services that Xponz may implement, as agreed by both party and with consent of the User. You agree that you exclusively will access and use your Account, and may not transfer the right of its use or disclose any log-in credentials to a third party without our written consent. You agree to take full responsibility for any activity that occurs through the use of your account, and cannot transfer this obligation to any third party. You agree to notify Xponz in the event that you discover or suspect any security breaches or vulnerabilities related to the Site or Services.

4. Damages Caused by the Internet or in Blockchain

Use of the Internet may not be secure. By accepting this Agreement, Users warrant that they are the rightful owners of XPONZ tokens. You agree that Xponz is not responsible whatsoever for any damages caused by the interception, loss or alteration to any information sent over the Internet. While Xponz will take reasonable steps to ensure the security and privacy of any information provided to use any of our Services, the data shall be kept “confidential” but in no event will any such information be considered “absolutely confidential” or will its disclosure to a third party, accidental or otherwise, cause liability against Xponz, even if it occurs as a result of our negligence.

Xponz takes every reasonable precaution to prevent and mitigate attacks. However, these problems still may occur from time to time for reasons that are out of our control. Xponz reserves the right to immediately stop all Services provided through the Site if the Website or any other Services platform are under attack. If it is determined that such an attack caused or threaten to cause damage to the Site, the Services, or any other services that represents Xponz as a whole, or other Users, Xponz may immediately discontinue all activity regarding entirely at its discretion. Xponz shall not be liable to any loss of assets, even if it occurs under Xponz’ negligence.

5. Xponz Does Not Provide Legal, Financial or Other Professional Advice

In no way should our providing of Services in terms of financial, licit, lawful or any other kind of specialized or expert advice on which the User might detrimentally depend, that may cause liability against Xponz. You represent and warrant that you understand that any recommendations or commentary made by Xponz and/or people behind Xponz should be considered generalized in nature, and you should use your own judgment or seek the advice of other professionals before taking any action regardless of such statement. We give no assurance as to the accuracy or completeness of any such statement.

6. Survival and Severability

Any portion of these Terms that reasonably should survive the termination of the Service and the User agreement is hereby agreed to do so. If any provision of these Terms is deemed illegal, invalid or otherwise invalid for any reason, then that provision will be severed and the rest of these Terms will remain intact and enforceable.

7. Integration

Our failure to exercise or enforce any rights or provisions of these Terms does not constitute a waiver of those rights or provisions. These Terms represent the entire and complete agreement between the User and Xponz, including any future modification of these Terms, superseding any prior agreements or communications between you and us. Any ambiguities in these Terms shall be construed in the light most favorable to Xponz.

8. Disclaimer

The Service shall be provided on an "as is" basis. The Service shall make every effort to ensure the smooth running of the Service. However it does not guarantee that there will be no technical issues which could lead to a complete or partial suspension of the Service. We do not guarantee the accuracy of any information provided on the Site. The Service shall not be liable to Users for any damages incurred by the Users even where the Service has been aware of such damages in advance. The Service shall not be liable to Users for any data leaked to any third parties about the Users’ activities in the event of a security breach.We hereby disclaim all warrants and guarantees that not expressly made in these Terms. Xponz's performance under these Terms shall be excused if the failure of such performance is caused by forces beyond its reasonable control.
